LUUM Affiliate program terms and conditions

These Terms and Conditions (“Agreement”) govern your participation in the LUUM Affiliate Program (“Program”). By submitting an application and/or participating in the Program, you (“Affiliate”) agree to be bound by this Agreement. LUUM reserves the right to update these terms at any time with notice provided by email.
1. Program Overview
The LUUM Affiliate Program allows approved individuals to earn cash commissions by referring new clients to LUUM. Upon approval, each Affiliate receives a unique promotional code to share with their audience. When a new client (defined below) books, completes, and pays for an appointment using that code, the Affiliate earns a $25.00 commission. The referred client earns 50% off their first set of natural eyelash extensions.
2. Eligibility
To participate in the Program, you must:
Be 18 years of age or older
Have a valid U.S. bank account capable of receiving ACH transfers
Complete the application form and be approved by LUUM
Provide a completed W-9 form prior to receiving any payments
Maintain compliance with all applicable federal, state, and local laws
LUUM reserves the right to approve or deny any application at its sole discretion and to terminate an Affiliate’s participation at any time.
3. Promotional Codes
Upon approval, LUUM will provide you with a unique promotional code. You may share this code through your personal networks, social media channels, website, or other approved channels. Your promotional code is:
Assigned exclusively to you and may not be transferred or sold
For use by new clients (defined below) only
Subject to change or deactivation by LUUM at any time
Affiliates may not use their own code to book their own appointments or receive personal discounts. Any attempt to abuse or manipulate the Program may result in immediate termination and forfeiture of unpaid commissions.
4. New Client Definition
A “new client” is defined as an individual who: (a) has no prior appointment history with LUUM at any location, and (b) books their first appointment using the Affiliate’s unique promotional code. LUUM’s booking records are the sole and final authority for determining whether a client qualifies as a “new client.”
5. Commission Structure
Affiliates earn a flat commission of $25.00 USD for each new client who:
Uses the Affiliate’s unique promo code at the time of booking
Completes and pays for their first appointment (appointment must be fully attended — no-shows and cancellations do not qualify)
There is no limit to the number of commissions an Affiliate may earn. Commissions are tracked by LUUM and reconciled weekly.
6. Referred Client Discount
New clients who book using your promotional code will receive 50% off their first natural lash set. This discount is funded by LUUM and does not reduce your $25.00 commission.
7. Payment Terms
7a. Payment Schedule
Commissions for completed appointments are paid monthly for all qualifying appointments confirmed in LUUM’s system through the prior month’s close of business (i.e., at 11:59 PM local time on the last day of such calendar month).LUUM will initiate each monthly payment within 10 days after the last day of such calendar month.
7b. Processing Delay
Payments are processed via Stripe and sent via ACH bank transfer. LUUM is not responsible for delays caused by Stripe, your bank, or any other third-party payment processor.
7c. Minimum Payout Threshold
There is no minimum payout threshold. All earned commissions will be paid in the following month regardless of amount.
7d. Payment Method
All payments are made via ACH bank transfer through Stripe Connect. Affiliates must complete Stripe’s onboarding process and connect a valid U.S. bank account before any payments can be issued. LUUM does not make payments via PayPal, Venmo, Zelle, check, or cash.
7e. Disputed Commissions
If you believe a commission has been incorrectly calculated or not paid, you must notify LUUM in writing within 30 days of the payout date. LUUM will investigate and respond within 10 business days. Disputes submitted after 30 days will not be considered.
8. Account Activity & Inactive Status
To maintain active status in the Program, Affiliates must generate at least three qualified referrals (a new client who completes and pays for an appointment) within any rolling 90-day period.
If less than three qualifying referrals are recorded within 90 days, your account will be automatically moved to “Inactive” status. While inactive:
Your promotional code will be deactivated
You will not be eligible to earn commissions
Your Stripe connected account may be deactivated to avoid ongoing platform fees
To reactivate your account, contact LUUM at the email provided below. Reactivation is subject to LUUM’s approval (at its sole discretion) and may require re-verification of your payment details.
9. Tax Responsibilities
You are an independent contractor, not an employee of LUUM. You are solely responsible for all federal, state, and local taxes on commissions earned through the Program.
LUUM is required by law to collect a completed IRS Form W-9 before issuing any payments. Failure to provide a W-9 will result in suspension of payments until one is received.
If your total commissions in a calendar year equal or exceed $600.00, LUUM (through Stripe) will issue a Form 1099-NEC to you and file a copy with the IRS by January 31 of the following year. It is your responsibility to report all income, regardless of whether a 1099 is issued.
10. Prohibited Conduct
Affiliates may not:
Use spam, misleading advertising, or deceptive tactics to promote their code
Purchase paid advertising using LUUM’s brand name or trademarks without prior written approval
Misrepresent LUUM’s services, pricing, or policies
Create fake bookings, use their own code, or otherwise manipulate the Program
Share, sell, or transfer their promo code to another individual
Make false, misleading, or disparaging statements about LUUM on any public platform
Violation of any of the above may result in immediate termination of your participation and forfeiture of any unpaid commissions and LUUM reserves its rights to any legal actions and claims it may have for such violation.
11. Intellectual Property
LUUM and its licensors are and shall remain the sole and exclusive owner of all right, title, and interest in and to all LUUM materials, including any and all trade secrets, trademarks, domain names, original works of authorship and related copyrights, patents, and any other intangible property in which any person holds proprietary rights, title, interests, or protections, however arising, pursuant to the laws of the any and all jurisdictions throughout the world (collectively "Intellectual Property") therein. Intellectual Property shall include all applications, registrations, renewals, issues, reissues, extensions, divisions, and continuations in connection with any of the foregoing and the goodwill connected with the use of and symbolized by any of the foregoing.
LUUM may provide Affiliates with approved marketing materials, logos, and brand assets for use in promoting the Program. You may not alter, misuse, or use LUUM’s intellectual property in any way that has not been expressly approved in writing. Subject to and in accordance with the terms and conditions of this Agreement, LUUM grants Affiliate a limited, non-exclusive, license, solely during the time period when Affiliate has an active account with LUUM, to use LUUM’s Intellectual Property solely to the extent necessary to provide the authorized and approved services hereunder. LUUM grants no other right or license to any Intellectual Property to Affiliate by implication, estoppel, or otherwise. Affiliate acknowledges that LUUM owns all right, title, and interest in, to, and under the LUUM’s Intellectual Property and that Affiliate shall not acquire any proprietary rights therein. Any use by Affiliate of LUUM’s Intellectual Property and all goodwill and other rights associated therewith shall inure to the benefit of LUUM.
12. Termination
Either party may terminate participation in the Program at any time, with or without cause, by providing written notice. Upon termination:
Your promotional code will be immediately deactivated
Any commissions earned prior to termination for completed appointments will be paid on the next scheduled Tuesday payout
Commissions for appointments not yet completed at the time of termination will not be paid
LUUM may terminate the Program entirely at its discretion with 30 days’ notice to all active Affiliates.
13. Modifications to the Program
LUUM reserves the right to modify the commission rate, payout schedule, promotional code structure, inactivity policy, or any other aspect of the Program at any time. Changes will be communicated via email at least 14 days before taking effect. Continued participation after the effective date constitutes acceptance of the updated terms.
14. Limitation of Liability; Indemnification
LUUM’s total liability to any Affiliate under this Agreement shall not exceed the total commissions paid to that Affiliate in the three months preceding the event giving rise to the claim. LUUM is not liable for indirect, incidental, or consequential damages of any kind, including lost profits.
Affiliate agrees to and shall defend, indemnify, and hold harmless LUUM, and its officers, directors, employees, agents, affiliates, successors, and permitted assigns from and against any and all losses, damages, liabilities, deficiencies, claims, actions, judgments, settlements, interest, awards, penalties, fines, costs, or expenses of whatever kind, including professional fees and attorneys' fees and the cost of enforcing any right to indemnification hereunder and the cost of pursuing any insurance providers, arising out or resulting from any claim alleging: (a) breach by Affiliate of any obligations set forth in this Agreement; (b) negligence or more culpable act or omission of Affiliate (including any recklessness or willful misconduct) in connection with the performance of her or his obligations under this Agreement; or (c) that Affiliate infringes any intellectual property of a third party.
15. Governing Law
This Agreement is governed by the laws of the State of California, without regard to conflict of law principles. Any disputes arising under this Agreement shall be resolved exclusively in the state or federal courts located in San Francisco, CA.
16. Entire Agreement
This Agreement constitutes the entire agreement between LUUM and the Affiliate with respect to the Program and supersedes all prior communications, representations, or agreements. If any provision of this Agreement is found to be unenforceable, the remaining provisions will continue in full force.
